Terms and Conditions

1. Introduction

Yoda Home Design S.R.L., with its registered office at Strada Ceasornicului nr. 3–7, et. 2, ap. 8, sector 1, București, registered with the Trade Register under no. J2019004911405, having CUI RO 40957440, e-mail office@yodahomedesign.ro, telephone +40.727.601.904 (call charged according to your plan with your mobile telephone operator), in its capacity as personal data controller, undertakes to protect and respect the confidentiality of personal data.

Terms and definitions

• Website – means all the web pages available at the address https://yodahomedesign.ro/ and all the subdomains of this address;

• User – any natural or legal person who accesses the Website;

• Services – all the services that our company makes available to the customer;

• Customer – the natural or legal person interested in the services provided by our company.

Rights over the content of the Website

The company Yoda Home Design S.R.L. (hereinafter referred to as “Yoda Home Design”) holds complete and full rights over the title of ownership and, thereby, all copyrights and patent rights. You are not entitled to redistribute, sell, decompile or disassemble the software application into a form perceptible by humans.

All information, products or applications contained in this Website are the property of Yoda Home Design, which reserves the right to modify the content and/or structure of the Website at any time and without any prior notice.

The entire content of the Website is protected by Law no. 8/1996 on copyright and related rights, all rights being reserved. All rights relating to the pages, content and presentation of the Website are held by Yoda Home Design. Copying, modifying, displaying, distributing, transmitting, publishing, marketing, licensing, creating derivative materials from or using the content of the Website for any purpose without written confirmation from Yoda Home Design is prohibited.

1. General rules regarding the use of the Yoda Home Design online shop

The online shop may only be used by persons aged at least 18.

Any person under the age of 18 may use the online shop only with the consent of their parents or legal guardian.

Any person who registers and buys in the online shop provides their personal data and agrees to it being processed by the company Yoda Home Design S.R.L. under the conditions defined in the Privacy Policy.

In order to confirm the accuracy of the data provided during the registration process in the online shop, the Customer receives an e-mail asking them to confirm their data.

1. Placing the order

Orders are accepted via www.yodahomedesign.ro.

The products in the online shop are specifically labelled. The Website includes information about the characteristics of the products, their prices, the materials from which they are made and, approximately, whether they are available in stock or can be purchased on pre-order.

When the Customer orders a product, they select it in a manner specific to that product, specifying in particular its size and colour and, if necessary, providing other specific information, as well as the quantity of products ordered.

1. How to buy in the online shop – detailed guide

After selecting the desired product, the Customer must select the “Add to cart” option.

The product is automatically added to the “Shopping cart”, whose icon is visible on the navigation bar at the top right of the page. The Customer may check the Shopping cart at any time by clicking on the “Check cart” icon, which opens a separate window showing all the products selected by the Customer.

Selecting the “Order” option opens a page in which the Customer will have to enter all the data needed to complete the transaction and deliver the products.

After logging in to the online shop, the Customer gains access to additional options in their dashboard, namely: order history, the possibility to view the status of the most recent orders, the possibility to save the delivery address and the possibility to receive the latest information about the products in the shop.

When selecting the delivery method (with delivery to a specified address) and entering all the necessary details (including the billing details, if necessary), the payment method must also be chosen.

The Customer may choose online payment (card payment or transfer via PayPal or PayU) or cash payment on delivery.

The order is completed by clicking on the “Order and Pay” icon.

After activating the “Order and Pay” icon and, at the same time, insofar as the Customer has chosen online payment – after paying via PayPal or PayU, the Customer is redirected to the page confirming the order; from this page they can either continue shopping or go to the order summary.

If online payment has been chosen as the payment method (bank transfer or card payment via PayPal or PayU), payment must be made immediately after the order has been placed. If Yoda Home Design or the entities participating in the transaction (PayPal or PayU) do not receive the payment, the order is considered not to have been placed correctly, which means that it will not be processed and that there is no contract. In this situation, the Customer will have to place a new order.

At any stage of placing the order, until payment is made, the Customer may cancel an Order by interrupting the process and leaving the Website. An order whose placement has not been completed will not be processed and will not give rise to any obligations whatsoever for the owner of the online shop.

After receiving the order, Yoda Home Design will send an e-mail confirming that the order has been placed, which sets out the details of the order. This e-mail is not a confirmation of the sale. The confirmation of the sale is sent in the e-mail confirming the dispatch of the order. From the moment the dispatch of the order is confirmed, the Customer will find in the My Account – My Orders section the tax invoice for your purchase.

Yoda Home Design may contact the Customer, either at the e-mail address or at the telephone number provided, in order to clarify any doubt, to confirm that the order has been placed or regarding any issue related to the processing of the order.

1. Prices

Prices in the online shop, set in lei, are gross prices, including VAT.

The price of the product is increased by the delivery charges, shown separately, which depend on the delivery method chosen.

The price shown in the completed and placed order, as subsequently confirmed by the Order confirmation e-mail, is the final price, binding on both Yoda Home Design and the Customer.

The price shown in the completed, placed and confirmed order will not change, regardless of whether, after that moment, Yoda Home Design changes the price of those products or runs certain promotional campaigns, special offers or clearance sales that also include the products concerned.

Yoda Home Design reserves the right to change the price of the products existing in the online shop, to launch new products, to launch and cancel special offers on its shop's Website or to modify them, in accordance with the provisions of the Civil Code and other applicable laws.

1. Availability of the ordered products

All the products offered in the online shop are in stock with the suppliers or can be delivered on pre-order.

Although the shop owner constantly ensures that all the products on the Website marked as such are available, there may be exceptional situations (for example, in the case of simultaneous orders; in the case of technical faults occurring in the administration of the online shop, etc.) in which a product is nevertheless unavailable, so that the order cannot be accepted. In such a case, the Customer will be informed that the order could not be processed.

The product page includes complete information regarding the description and technical specifications – unavailable products are also listed but are clearly marked with the mention “Details”. An unavailable product cannot be added to the cart, but it can be added to the wish list.

1. Inability to process an order

In the event that a product is not available in the warehouse stock or the order cannot be processed for any other reason, even though the order was initially confirmed on the Website, the order will be sent without the missing product or cancelled; we are not able to replace the products with others. The Customer will be notified by e-mail of the reduction or cancellation of the order.

1. Delivery

The products ordered through this Website will be delivered exclusively within the territory of Romania.

If the Customer chooses to pay in cash on delivery, the processing of the order begins immediately after it is placed. If the Customer uses an online payment method (PayPal or PayU), the processing of the order begins after it has been confirmed that the Yoda Home Design account has been credited (via PayPal or PayU) with 100% of the amount due for the order - this is the moment from which the period for delivering the products to the Customer starts to run.

After the Customer has received the e-mail confirmation of the order, the order will be handed over by us to the courier and will be delivered to the Customer by the courier within an estimated period of 5-30 working days from the confirmation of the order or from the moment the Yoda Home Design account is credited with 100% of the order value, in the case of payments made online.

If express delivery has been selected, the order is allocated with priority. The delivery period may be longer during sales periods or special campaigns. Working days are Monday to Friday, except public holidays.

When we hand over the Order to the courier, the Customer will receive a notification to this effect by e-mail or SMS at the address or telephone number provided, respectively. If, for whatever reason, the delivery period indicated above cannot be met, the Customer will be contacted by e-mail and informed of the actual delivery period.

For delivery, the Customer will be contacted in advance by the courier, and the Customer consents to our providing the courier with their contact details for this purpose. Upon receipt of the Order, the Customer will present a valid identity document and will sign the AWB (waybill)/delivery receipt.

If the parcel cannot be delivered after two attempts, the parcel will be returned to Yoda Home Design, and the costs and consequences of the return will be borne by the Customer.

Delivery will be made through the courier chosen by Yoda Home Design at its sole discretion.

The delivery charges are those stated in the dedicated field at the time the Order is completed and placed, as subsequently confirmed by the confirmation e-mail. By completing and placing the Order, the Customer agrees to pay these charges together with the price of the products. The delivery charge applies to each parcel separately.

Furthermore, Yoda Home Design reserves the right to withdraw any goods from sale at any time. In such situations, the sole liability of Yoda Home Design towards the Customer is the full refund of the amounts paid for the respective goods that it can no longer supply/has withdrawn from sale.

1. Invoicing and payment

Each purchase on our Website is accompanied by proof of purchase, the invoice being available for download from the customer account. Yoda Home Design is not responsible for incorrect data provided by the Customer.

Payment may be made exclusively by the methods indicated in the ordering procedure, namely:

• in cash, on delivery of the parcel. Payment is made to the courier's representative when the parcel is received (it is advisable, but not mandatory, to have the exact amount in cash);

• bank transfer: Yoda Home Design accepts fast transfers made via PayU or online transfers via PayPal. In the case of PayU fast transfers, the Customer is securely redirected to the payment operator's website and then, from the payment operator's website, to the website of the bank selected from the list, in order to transfer the money. The payment operation takes place between the Customer and the selected payment operator.

Yoda Home Design does not accept traditional transfers, so the Customer will not receive any bank account number into which to transfer the money, for example by postal order at a post office.

• Card payment: The Customer must hold a card that allows them to make online payments (the Customer must check with the bank that issued the card whether it meets these requirements). Card payment is made via PayPal or PayU. The payment operation takes place between the Customer and the operator of the Customer's card.

The Customer's card/account is debited only after the Customer has completed and placed the order. For your security, all transactions are encrypted. When the card transaction is approved, the amount payable is immediately blocked on the card/in the account and will be debited from your account when the seller sends you the order confirmation by e-mail.

If, for whatever reason, the card transaction/the transaction using PayU services fails /is not carried out, your order is automatically cancelled and the shop owner no longer has any obligation towards you. In this case you will have to restart the ordering procedure and provide a valid means of payment, from among the accepted ones shown in the ordering procedure.

In all cases where payment is made online, bank charges of any kind (e.g. transfer fees, currency exchange fees, etc.) are borne by you and are not included in the price/delivery charges. For information about these charges, please enquire in advance with the bank that issued the payment instrument/provides the banking service.

Gift cards or shopping cards are not accepted as forms of payment!

Please beware of phishing e-mails!

Please note: The owner of the online shop will never notify you that it has changed the account for making payments and that a traditional transfer is required.

Yoda Home Design will never ask the Customer to provide bank details, card details or similar information by e-mail or telephone, nor will it contact them by telephone or send an e-mail indicating to you another bank account for making the payment or asking them to pay by postal order or another traditional payment method.

Should the Customer receive such a request, they must not make the payment or reply to the e-mail, but forward it, unaltered, to Yoda Home Design at office@yodahomedesign.ro.

Information about making a payment will be requested by Yoda Home Design only exceptionally, as a result of a request you have addressed to us or when problems arise with an order you have placed. When we request personal data by e-mail, we will always ask you to contact us by telephone before providing it or to write to us, using the contact details indicated in the Contact section.

If you receive a message asking you (apparently on our behalf) for specific personal data via a link, do not reply, do not comply with the request, do not click on the link and delete the respective e-mail immediately, as it is a possible phishing e-mail aimed at identity theft and/or infecting your computer with a virus/other cyber attack.

1. Moment of conclusion of the sale. Transfer of ownership and risks

The information available on our Website does not constitute an offer within the meaning of the Civil Code, nor does it constitute a pre-contract or any other commitment of Yoda Home Design towards the Customer.

The sale contract is considered concluded only at the moment when the Customer receives the Order confirmation from Yoda Home Design by e-mail.

The transfer of ownership of and risks relating to the products takes place at the time of delivery of the parcel containing the products, on condition that the price and the delivery charges have been paid in full.

1. Warranties

For the products delivered, Yoda Home Design grants a warranty under the conditions provided by law, the products being accompanied by the appropriate certificates to this effect.

1. The Customer's right of withdrawal from the Contract. Return of products. Refund of the price and delivery charges

The Customer may withdraw from the Contract, by unilateral withdrawal, within a period of 30 days, without having to give any reason.

The right to withdraw from the contract expires within a period of 30 days starting from the day of delivery (the day on which the parcel is received by the Customer or by a third party designated by the Customer, other than the carrier, as stated on the AWB (waybill)/proof of receipt issued by the courier). The date of delivery of the parcel and the day on which the period expires are included in the calculation of the 30-day period.

If they decide to withdraw from the Contract, the Customer is obliged to notify Yoda Home Design by one of the following methods:

• By telephone at +40.727.601.904 (call charged according to your plan with your mobile telephone operator);

• By e-mail at office@yodahomedesign.ro;

• By completing online the withdrawal form available in the Customer dashboard for any order; if this form is used, the Customer will receive prompt confirmation that Yoda Home Design has received their notice of withdrawal.

Please note: Each method of sending the notice is permitted and all are equally effective. Yoda Home Design recommends the online form available in the Customer dashboard only because it is an easy and quick method.

To be sure that the contract is withdrawn from in time, it is sufficient for the Customer to send the notice of withdrawal before the period expires.

In the event of withdrawal from the Contract, within no more than 14 (fourteen) days from the date of return of the Products and their accessories, in proper condition, as set out in these Terms and Conditions, Yoda Home Design will refund to the Customer, without undue delay, their price as collected and the delivery charge paid by the Customer to the courier for the delivery of the products (except for the additional costs resulting from the Customer's choice of a delivery method other than the cheaper standard one offered by Yoda Home Design). If the Customer chooses to keep certain products and to cancel the Contract/Order only partially, the delivery charge will not be refunded.

The price and the charges paid by the Customer for delivery will be refunded by the same method by which these amounts were received in the initial transaction, unless the Customer agrees otherwise, and except for payments received in cash on delivery, which will always be refunded to the Customer by bank transfer into the account that the Customer is obliged to state in the form or e-mail. In all cases, the Customer will not bear any cost related to the refund.

Yoda Home Design may withhold the refund until it receives the returned product or until the Customer provides proof that they have returned the product in proper condition, whichever occurs first.

In the event of withdrawal carried out in compliance with the time and form requirements set out above, the Customer is obliged to return the products in the proper condition in which they were received, unaltered, unscratched and in all cases undamaged, in the packaging in which they were received, within no more than 14 (fourteen) days from notifying the decision to withdraw (the day on which the withdrawal is notified and the day on which the period expires being included in its calculation.

The products may be returned, at the Customer's choice, at their own cost through a courier chosen by them or through the courier chosen by Yoda Home Design at Yoda Home Design's cost. In order to benefit from free return shipping, the Customer must complete the contract withdrawal form available for each order in the Customer dashboard.

If all the products are returned in a single parcel, a return made in this way is exempt from courier charges/return costs if the collection takes place within the territory of Romania.

If sets of products were delivered, the entire set must be returned as delivered. If a gift product was also received on delivery, it must also be returned. Any product must be returned with all its accessories, which must be in proper condition, just like the product.

If the products are not returned in proper condition, as set out above, the Customer will bear their depreciation, the amount to be refunded to the Customer by Yoda Home Design being reduced accordingly. The Customer is liable for any diminished value of the products resulting from their use in a manner other than that necessary to establish their nature, characteristics and functioning.

As regards the condition of the products returned by the accepted return methods mentioned above, the examination of their condition, to determine the extent to which they are compliant, will be carried out by Yoda Home Design within no more than 14 (fourteen) days of receipt, the Customer being informed within this period by e-mail in the event of any non-conformities that entail a reduction of the amount to be refunded. The Customer agrees to this procedure.

1. Complaints regarding the conformity of products

The products sold through the online shop are new products, free of defects. If the products nevertheless have defects, Yoda Home Design will be responsible for them.

The Customer is asked to pay attention to the colours of the products and to take into account that, owing to the settings of their own computer/electronic device, certain actual colours of the delivered products may differ from what the Customer's computer/electronic device displayed at the time the Order was placed. These differences cannot be considered non-conformities.

If the products have defects, found within no more than 2 working days of delivery or arising during the warranty period established in accordance with Romanian law, the Customer may submit a complaint by e-mail to the address shown in the Contact Section or by post, by registered letter with acknowledgement of receipt, to the address shown in the same section, and return the products in accordance with the procedure set out in these Terms and Conditions.

The Customer may also use, for the complaint, the “complaint” form provided on the Website, completed online or sent by e-mail, with the products to be returned to the address Yoda Home Design S.R.L.: Strada Ceasornicului nr. 3–7, et. 2, ap. 8, sector 1, București, România.

Yoda Home Design provides Customers with the possibility to lodge a complaint and to return defective products by courier at Yoda Home Design's cost. To do so, the Customer must complete the electronic complaint form (available in the Customer dashboard) with address details, specifying the place from which the courier must collect the shipment containing the products mentioned in the complaint.

Yoda Home Design will examine the complaint within 14 days and will inform the Customer of the outcome.

If the Customer's complaint is found to be justified, the defective products will be replaced or, if replacement is impossible, the Customer will be refunded the price together with the delivery charges within 14 (fourteen days) of the resolution of the complaint.

If the complaint is considered unfounded, the products will be returned to the Customer, at their cost, accompanied by a note explaining that the complaint was found to be unfounded, without any other obligation on the part of Yoda Home Design.

The Customer will also be informed by e-mail, at the address provided when registering as a user, of the resolution of the complaint and of the solution adopted as set out above.

In the event of a refund by Yoda Home Design of the price and delivery charges, the provisions of the relevant section of these Terms and Conditions will apply accordingly.

1. Cancelling an order

The Customer may renounce an order.

The Customer may cancel an order by themselves within 15 minutes of placing that order, in the Customer dashboard, in the “My orders” section, by selecting the “Cancel order” option placed next to the “Order” option.

1. Miscellaneous

Proof of purchase accompanies each product purchased. The Customer can download the invoice from the Customer dashboard. Yoda Home Design will not be responsible for incorrect data provided by the Customer.

15.1. Processing of personal data

The Customer's consent to the processing of personal data is voluntary, but refusing to give consent to the processing of personal data makes it impossible to register and buy from the online shop. All information regarding the processing of personal data can be found in the Privacy Policy section.

15.2. Processing of personal data for marketing purposes

The Customer may agree to the processing of personal data and its transfer to a third party for the purpose of receiving commercial information from Yoda Home Design, for example regarding special offers. All information about this is available in the Privacy Policy.

1. Liability

Liability of Yoda Home Design – in the event of an intentional or grossly negligent breach of the Terms and Conditions and/or the Contract: Yoda Home Design, as seller and owner of the online shop, will be liable for the losses that are a direct and reasonably foreseeable consequence of that breach.

In any event (excluding liability for harm to the life and/or bodily integrity of a person), the maximum liability towards the Customer for any loss or damage occurring in connection with an Order is limited to the total price of that Order.

Yoda Home Design is not liable for the infection of a User's/Customer's computer with computer viruses, for cyber attacks of any kind, for the loss of the User's/Customer's data from their devices or for damage to any hardware equipment or software belonging to them.

Furthermore, Yoda Home Design is not liable for phishing e-mails or for partners' links that may appear on the Website at any given time.

Liability of the User/Customer: The User/Customer is responsible for maintaining the confidentiality of their Account data (username/e-mail and password), for managing access to the Account and for the activity carried out through the Account, as well as for browsing the partners' websites and links.

Furthermore, the User/Customer bears sole liability for the truthfulness/accuracy/integrity of any and all data provided to the shop owner and for any damage caused to the shop owner through failure to comply with these Terms and Conditions and/or the Contract.

1. Intellectual property

The entire content of the Website, including but not limited to logos, graphic representations, trade symbols, static/dynamic images, text and/or multimedia content, is the exclusive property of Yoda Home Design.

The User/Customer is not permitted to copy, reproduce, distribute, publish, transfer, modify, alter, use, link to, display or include any element of the Website in any material of the User/Customer or of a third party, for any purpose other than concluding/performing a Contract for products and obtaining information about the products sold on the website, without the prior written agreement of Yoda Home Design to this effect.

If the User/Customer transmits/transfers to the owner of the online shop any information or content (including logos, graphic representations, trade symbols, static/dynamic images, text and/or multimedia content), this will not give rise to any obligation for Yoda Home Design, unless there is a prior written agreement of the parties to this effect.

By accessing these Terms and Conditions, the User/Customer understands and accepts that any use of the Website and its content for purposes other than those expressly permitted under the Terms and Conditions/Contract is expressly prohibited.

1. Force majeure. Fortuitous event

Neither party will be liable for failure to perform its obligations under the Contract or provided for in these Terms and Conditions if such failure to perform on time and/or properly is due wholly or partly to an event of force majeure or a fortuitous event. Force majeure is an external, unforeseeable, absolutely insurmountable and unavoidable event. A fortuitous event is an event that can be neither foreseen nor prevented.

If the event of force majeure or the fortuitous event does not cease within 30 (thirty) days from the date on which it occurred, each party will have the right to notify the other party of the termination of the Contract by operation of law, without either of them being able to claim other damages from the other.

1. Applicable law. Jurisdiction. Alternative dispute resolution (ADR)

These Terms and Conditions, as well as the Contract, are governed by the provisions of Romanian law. In the event of disputes, these will be settled by the competent court at the registered office of Yoda Home Design, the User/Customer expressing their agreement to this choice of jurisdiction.

Alternative dispute resolution is a mechanism alternative to the judicial system, through which consumers are offered the possibility of resolving potential disputes when they face a problem related to the purchase of a good and/or a service. Thus, notifications or complaints against traders will be submitted voluntarily by consumers and will be resolved in an independent, impartial, transparent, fast and fair manner. This alternative means of resolution can be accessed both online and by traditional methods, on paper or on another durable medium.

For the purpose of alternative dispute resolution, the Buyer's notification or complaint may be submitted in writing directly to the Alternative Dispute Resolution Directorate of the National Authority for Consumer Protection at the following contact details: București, Bulevardul Aviatorilor nr. 72, sector 1, postal code 011865, tel: 021.307.67.69; fax: 021.314.34.62, e-mail: dsal@anpc.ro. The Alternative Dispute Resolution Directorate of the National Authority for Consumer Protection is competent to resolve, by alternative means, national and cross-border disputes arising from sale contracts or service contracts concluded with a trader operating in Romania and is included in the list of ADR entities at European level, available at the following link: https://ec.europa.eu/consumers/odr/main/?event=main.adr.show2”. 1. Final provisions

If, for whatever reason, any clause of these Terms and Conditions proves to be null, unenforceable or invalid, it will be replaced by a valid clause as close as possible in meaning to the original clause.

The invalidity/ineffectiveness of a clause/provision of these Terms and Conditions and/or the Contract will not affect the validity/applicability of the other clauses/provisions, which will continue to apply unchanged.

   21. Green Tax

Pursuant to Government Decision no. 1000/2012 and Government Emergency Ordinance no. 5/2015 on waste electrical and electronic equipment, the company YODA HOME DESIGN S.R.L., unique registration code 40957440, with its registered office at București, Sector 1, Strada Ceasornicului nr. 3–7, et. 2, ap. 8, has been registered in the Register of producers of electrical and electronic equipment for placing on the market equipment of type 4a, 5, under registration number:

RO – EEE – 6027 – 2025 – 01 – 15

According to Order no. 269/2019, by 20 March of each year, the necessary documentation must be submitted for the annual update of the registration number. More details on the page WEEE REGIME.
